Terms and Conditions

Assumption of Risk and Waiver of Liability
a. Thermal Pane Fogging or Moisture Between Panes:
NDSolution is not liable for any water intrusion between window panes, including but not limited to double- or triple-pane (insulated) glass. This condition is typically a result of failed window seals, which are pre-existing manufacturing or wear-related defects outside of our control.
b. Pre-Existing Damage:
NDSolution is not responsible for any pre-existing conditions or damage to windows, screens, frames, sills, tracks, paint, landscaping, or structures. This includes, but is not limited to, cracked or chipped glass, loose frames, oxidized screens, rotted wood, or brittle caulking.
c. Surfaces and Materials:
Certain surfaces may be at risk of scratching or wear due to prior damage, improper installation, or materials incompatible with standard window cleaning practices. NDSolution shall not be held responsible for issues arising from these conditions.
d. Dislodged Window Panes During Regular Cleaning:
Some windows, especially older or improperly installed ones, may have loose panes that are not visibly apparent. If a window pane becomes dislodged or falls out during the regular cleaning process (using standard tools and techniques), NDSolution is not liable. This type of issue is typically due to structural defects or prior damage beyond our control.
e. Interior Water Intrusion from Leaking Windows:
NDSolution is not liable for any interior water damage resulting from leaking or improperly sealed windows. While care is taken during the cleaning process, water may enter the structure if seals, frames, or sills are compromised due to wear, age, or faulty installation. It is the client’s responsibility to ensure that windows are properly sealed prior to service.
Scope of Work
a. Standard Service:
NDSolution’s window cleaning services include the removal of dirt, dust, and debris from glass surfaces using standard tools and cleaning solutions.
b. Exclusions:
Hard water stain removal, paint overspray scraping, adhesive removal, concrete removal, tree sap removal, or any restoration-level services are not included unless explicitly agreed upon in writing prior to service. These services may incur additional charges and require scheduling adjustments.
Deposits, Recurring Services, and Payment Terms
a. 10% Deposit Requirement:
After an estimate and service plan selection, a non-refundable deposit of 10% of the total service cost is required to reserve the scheduled service date. This deposit confirms your booking and covers preparation and scheduling time.
b. Deposit Credit Policy:
If the client decides not to proceed with the scheduled cleaning, the deposit will not be refunded but may be credited toward future services, including additional or rescheduled cleanings, at NDSolution’s discretion.
c. Recurring Service Clients:
Clients who select a recurring service plan (e.g., quarterly cleanings) will be charged in advance for each scheduled cleaning. If a client cancels a scheduled cleaning, the payment already charged for that cleaning will not be refunded but credited toward any additional services for the next cleaning, as arranged with NDSolution.
d. Late Fees:
Any unpaid balances are subject to a late fee of 10% per month, applied monthly on overdue amounts until paid in full.
Damage Caused by NDSolution Negligence
In the rare event that NDSolution causes damage that is not pre-existing and is a result of our direct negligence, we accept responsibility. We will, at our discretion:
Repair the item or area to its pre-loss condition, or
Provide indemnification through reasonable compensation, or
Coordinate with our insurance provider for coverage, if applicable.
Clients must report any such damage within 48 hours of service completion.
Client Responsibilities
a. Client agrees to provide clear access to windows and work areas prior to arrival.
b. Client agrees to secure pets, valuables, and fragile items.
c. Client acknowledges that window cleaning may temporarily affect window tinting, seals, or treatments if these are not properly installed or previously compromised.
Weather and Safety Conditions
Services may be rescheduled or delayed due to weather or unsafe working conditions. NDSolution reserves the right to make such determinations in the interest of safety and quality.
Photo and Video Release
By allowing NDSolution to perform services on your property, you grant NDSolution permission to capture photographs and videos of the work performed. These images and recordings may be used for marketing, documentation, or educational purposes without additional consent or compensation.
Force Majeure
NDSolution shall not be liable for delays or failure to perform services due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, severe weather, government restrictions, or other unforeseeable events.
Limitation of Liability
Except for damages caused by NDSolution’s direct negligence, the total liability of NDSolution under or in connection with these Terms and Conditions shall not exceed the total amount paid by the client for the specific service giving rise to the claim. In no event shall NDSolution be liable for any indirect, incidental, consequential, or punitive damages.
Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the state in which the services were performed (either California or Idaho). Any disputes arising out of or related to these Terms shall first be attempted to be resolved through good faith negotiations.
If negotiation fails, disputes shall be resolved through binding arbitration administered in the state where the service was provided, in accordance with the rules of a recognized arbitration organization. Judgment on the arbitration award may be entered in any court having jurisdiction.

Solar Panel Cleaning Terms and Conditions

Assumption of Risk and Waiver of Liability
a. Pre-Existing Panel Damage:
NDSolution is not liable for damage to solar panels that results from pre-existing conditions, such as microcracks, delamination, faulty installation, poor electrical connections, or manufacturer defects.
b. Panel Mounting and Roof Conditions:
NDSolution shall not be held responsible for damage caused by insecure or faulty mounting hardware, roof tile breakage, or deteriorated roofing materials that cannot support technician access.
c. Water Leaks or Electrical Issues:
NDSolution uses water-fed poles and deionized water systems considered safe for solar panel cleaning. However, if a panel or system leaks due to poor sealing, compromised conduits, or defective gaskets, NDSolution is not liable for water intrusion, electrical malfunctions, or associated property damage.
d. Non-Standard Panels or Equipment:
We are not responsible for issues arising from cleaning non-traditional systems, such as hybrid solar-thermal panels, if not disclosed beforehand.
Scope of Work
a. Standard Service:
Solar panel cleaning consists of removing dirt, pollen, bird droppings, and other surface debris using purified water and soft-bristle brushes or water-fed poles, in accordance with industry best practices.
b. Exclusions:
NDSolution does not include inspection, diagnostics, electrical testing, production monitoring, or solar system maintenance as part of standard cleaning. Restoration, panel removal, or aggressive scraping methods are not provided unless agreed upon in writing.
c. Obstructions and Access Issues:
Clients are responsible for ensuring safe and reasonable access to the roof and panel area. If access is obstructed or unsafe (e.g., due to slope, instability, or debris), we reserve the right to reschedule or cancel service.
Deposits, Recurring Services, and Payment Terms
These match the same structure as your window cleaning section:
a. 10% Deposit Requirement:
A non-refundable 10% deposit is required to schedule solar panel service.
b. Deposit Credit Policy:
Canceled solar services are not refunded, but the deposit may be credited toward future services at NDSolution’s discretion.
c. Recurring Service Clients:
Clients on recurring solar cleaning plans are charged in advance. If a scheduled cleaning is canceled, the charge is credited to future solar or additional services.
d. Late Fees:
Balances unpaid past the due date incur a 10% monthly late fee until paid in full.
Damage Caused by NDSolution Negligence
In the rare event of direct, provable negligence by NDSolution resulting in damage to a solar panel or associated equipment, we will:
Repair or compensate for the damage to restore the item to pre-loss condition, or
Submit the claim to our insurer, if applicable.
All damages must be reported within 48 hours of service.
Client Responsibilities
Provide clear and safe access to solar panels and surrounding areas.
Secure pets and keep all pathways, driveways, and gates accessible.
Notify NDSolution of any known panel issues or special instructions.
Weather and Safety
Services may be delayed or rescheduled due to weather, wet roofs, excessive heat, or unsafe roof conditions. NDSolution reserves the right to determine when service can be safely completed.
Photo and Video Release
By receiving service, you consent to NDSolution capturing photo/video content of the solar panel cleaning work for marketing, documentation, or educational purposes, without need for further consent or compensation.
Force Majeure
NDSolution shall not be held responsible for delays, rescheduling, or failure to perform due to natural disasters, storms, fires, government restrictions, or other events outside our control.
Limitation of Liability
NDSolution’s liability is limited to the total amount paid for the service in question. We are not responsible for consequential, incidental, or indirect damages related to service, including but not limited to system downtime, lost production, or energy costs.

Gutter Cleaning Terms and Conditions

Assumption of Risk and Waiver of Liability
a. Gutter System Condition:
NDSolution is not responsible for pre-existing issues such as sagging gutters, loose fasteners, rust, corrosion, cracked seals, or improperly sloped/downspout installations. These may limit the effectiveness of cleaning and/or result in additional damage during service.
b. Water Damage Due to Gutter or Roof Failure:
NDSolution is not liable for any interior or exterior water damage resulting from clogged, defective, or improperly maintained gutters, downspouts, flashing, roofing, or fascia systems. Gutter cleaning cannot prevent all future leaks or overflows.
c. Detached or Compromised Fixtures:
Gutters, guards, or downspouts that become detached, break, or collapse during standard cleaning are the responsibility of the homeowner unless direct negligence can be demonstrated.
d. Ladder-Related Wear or Contact:
Minor contact marks, indentation, or wear to gutter edges, shingles, or siding may occur as part of safe ladder placement and access. NDSolution is not liable for minor cosmetic wear resulting from standard ladder usage.
Scope of Work
a. Standard Service:
Includes debris removal from gutters and accessible downspouts, basic flushing where possible, and site cleanup of removed material. Includes visual inspection of gutter condition, clogs, and drainage concerns.
b. Exclusions:
Does not include roof cleaning, underground drain jetting, fascia or soffit repair, reattachment of gutters/downspouts, gutter guard installation/removal, or pest nest removal unless explicitly agreed to in writing beforehand.
Deposits, Recurring Services, and Payment Terms
a. 10% Deposit Requirement:
All one-time or first-time gutter cleanings require a 10% non-refundable deposit to reserve a scheduled service date after estimate approval.
b. Deposit Credit Policy:
If the client cancels the service, the deposit is non-refundable but may be credited toward future services at NDSolution’s discretion.
c. Recurring Services:
Recurring gutter service clients are billed in advance per scheduled service. If a service is canceled after billing, that amount is credited toward future services or upgrades.
d. Late Fees:
Unpaid balances are subject to a late fee of 10% per month until paid in full.
Damage by Negligence
In the event of damage caused directly by NDSolution’s proven negligence (not pre-existing), we will at our discretion:
Repair the damage, or
Compensate for loss reasonably, or
Facilitate insurance claims if necessary.
All claims must be reported within 48 hours of service completion.
Client Responsibilities
Ensure gutters are reasonably accessible. If not, additional charges may apply.
Secure pets and valuables near work zones.
Notify us of any known structural issues (loose fasteners, disconnected downspouts, etc.).
Ensure water access if flushing is part of the scope.
Weather and Safety
Services may be delayed or rescheduled in the event of severe weather or unsafe working conditions, especially on steep roofs or icy surfaces. Safety is prioritized at all times.
Photo and Video Release
By allowing NDSolution to perform services, you authorize us to take photos/videos of the work. These may be used for documentation, marketing, or training without further permission or compensation.
Force Majeure
We are not liable for delays, cancellations, or damages resulting from events beyond our control, including but not limited to extreme weather, natural disasters, power outages, or labor shortages.
Limitation of Liability
Except for damage due to our direct negligence, NDSolution’s liability is limited to the amount paid for the specific gutter service. We are not liable for indirect, incidental, or consequential damages of any kind.
Governing Law and Dispute Resolution
These terms are governed by the laws of the state where the service was performed. Disputes will first attempt resolution through good faith negotiation. If unresolved, binding arbitration will occur in the service state.

Christmas Light Installation Terms and Conditions
Effective Date: 01/01/23
Scope of Work
a. Standard Service:
NDSolution provides full-service holiday lighting, including the purchase, custom cutting and fitting, professional installation, maintenance (e.g., bulb replacement), and post-season takedown of lights.
b. Lights Ownership:
All holiday lighting materials remain the property of NDSolution. Clients are paying for rental, installation, maintenance, and takedown—not ownership. Lights are reclaimed at the end of the season unless otherwise agreed upon in writing.
c. Customer-Provided Lights:
If a client provides their own lights for installation:
NDSolution offers installation only.
NDSolution will not perform maintenance or replacement for malfunctioning customer-provided lights.
NDSolution is not liable for electrical faults, breakage, or defects in customer-supplied lights.
Deposits and Payment Terms
a. 25% Deposit Requirement:
A non-refundable deposit equal to 25% of the total quoted cost is required to reserve installation. This secures labor, materials, and scheduling.
b. Payment Balance:
The remaining balance is due upon completion of installation. If takedown is billed separately, it will be due upon completion of that service.
c. Cancellation Policy:
Deposits are non-refundable. If the client cancels the service after deposit but before installation, the deposit may be credited toward other future services at NDSolution’s discretion.
Damage and Liability
a. Structural Attachments:
Installations are performed using clips, fasteners, or other non-invasive methods wherever possible. NDSolution is not liable for pre-existing damage or for issues arising from fragile or deteriorating structures (e.g., old gutters, brittle shingles, aged stucco).
b. Electrical Risks:
Client is responsible for ensuring outdoor outlets and circuits are in safe, working condition. NDSolution is not liable for electrical outages, surges, or circuit overloads due to inadequate home infrastructure.
Maintenance & Repairs
a. During the Season:
If NDSolution-supplied lights fail during the holiday season, we will repair or replace them at no cost, provided the issue is not caused by vandalism, power issues, or tampering by other parties.
b. Customer Lights:
No maintenance or replacement is offered for customer-provided lights.
Takedown and Seasonal Storage
Takedown is generally scheduled for January and may be adjusted based on weather, safety, or scheduling limitations. After takedown, all lights and hardware remain NDSolution property and are securely stored in an organized, labeled manner at our facility for reuse the following season. Clients discontinuing service will not receive their lights unless a separate purchase agreement is reached.
